Terms of Service

These terms are an agreement between 16549373 Canada Inc. ("Pie", "we", "us"), Unit 134-4750 Yonge Street, North York, Ontario M2N 0J6, Canada, and the business that signs up for Pie ("you"). By creating an account or using the Service you agree to them. The Service is for businesses; it is not offered to consumers.

1. The Service

Pie is web-based back-office software for restaurants: sales and payout reporting, menu and availability management across connected platforms, recipe costing, inventory, bookkeeping helpers, order printing and gift-card / store-credit records. Features may change as we improve the Service. The Service is offered in Canada (except Quebec) and, as we expand, in the United States.

2. Your account

You are responsible for the people you invite, for keeping logins secure, and for the accuracy of what you enter. Tell us right away at hello@pietab.com if you suspect unauthorized access.

3. Third-party platforms

Pie connects to services you choose, such as Clover, Uber Eats, DoorDash, Fantuan, HungryPanda and Plaid. You authorize Pie to access them on your behalf and you remain bound by their terms. Those platforms can change or shut off access at any time. We are not responsible for their availability, their data, their fees or their decisions about your account, and an interruption caused by them is not a breach of these terms.

4. Money and gift cards

Pie does not process payments and never holds or transfers your funds. Gift-card and store-credit balances in Pie are records you keep for your business; you are the issuer of your gift cards and responsible for honouring them and for complying with applicable gift-card and consumer-protection laws. Pie's gift-card features are designed so that purchased cards do not expire and carry no fees.

5. Your data

Your business data belongs to you. You grant us the rights needed to host, process and display it to provide the Service. We handle personal information as described in our Privacy Policy. You can export your data at any time; after cancellation you have 30 days to export before we delete it.

6. Acceptable use

Don't use the Service to break the law, to access accounts you are not authorized to access, to interfere with the Service or other customers, or to resell it without our written permission.

7. Pilot, fees and cancellation

During a pilot the Service is free and no payment method is required. Paid plans, when offered, are billed monthly in advance, renew automatically and can be cancelled at any time; cancellation takes effect at the end of the current billing period and fees already paid are not refunded, except that we will credit you for a period in which the Service was unavailable through our fault. Prices exclude applicable taxes.

8. Availability and changes

We work to keep the Service available but do not guarantee uninterrupted operation. We may update these terms; material changes will be emailed to account owners at least 30 days before they take effect.

9. Disclaimers and limitation of liability

Reports in Pie are tools to help you run your business, not accounting, tax or legal advice; please confirm figures with your own records and advisors. To the extent permitted by law, the Service is provided "as is", and our total liability for any claim arising from the Service is limited to the fees you paid us in the 12 months before the claim. We are not liable for indirect or consequential losses such as lost profits.

10. Ending the agreement

You may stop using the Service at any time. We may suspend or end access for a serious breach of these terms, with notice where reasonable.

11. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have jurisdiction over any dispute.
